Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Imbertech (Pty) Ltd (Registration: 2022/260393/07), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and clients of our services.

2. Services

Imbertech provides information technology services including but not limited to: cybersecurity assessments and penetration testing, software development, IT operations and infrastructure, digital forensics, compliance consulting, broadcast solutions, smart energy systems, and training services. Specific terms for individual projects are defined in separate service agreements or statements of work.

3. Client Responsibilities

Clients are responsible for: providing accurate and complete information necessary for service delivery; ensuring appropriate authorization for security testing activities; maintaining confidentiality of any access credentials provided; and timely payment for services rendered. For penetration testing and security assessments, clients must provide written authorization confirming they own or have permission to test the target systems.

4. Intellectual Property

Unless otherwise agreed in writing, intellectual property developed specifically for a client as part of a project will be assigned to the client upon full payment. Imbertech retains rights to general methodologies, tools, and know-how developed independently or as part of our standard service delivery.

5. Confidentiality

We treat all client information, systems access, and findings as strictly confidential. We will not disclose confidential information to third parties without prior written consent, except as required by law. Security assessment reports and findings are provided solely to the authorized client representatives specified in the engagement.

6. Limitation of Liability

Our services are provided 'as is' without warranty of any kind. While we exercise reasonable skill and care, we cannot guarantee that security assessments will identify all vulnerabilities or that systems will be completely secure. To the maximum extent permitted by law, Imbertech's liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim.

7. Payment Terms

Payment terms are specified in individual quotes or service agreements. Unless otherwise agreed, invoices are due within 30 days of issue. We reserve the right to suspend services for overdue accounts. Late payments may incur interest at the maximum rate permitted by law.

8. Termination

Either party may terminate ongoing services with 30 days written notice. Imbertech may terminate immediately if the client breaches these terms or fails to provide necessary authorization. Upon termination, the client remains responsible for payment of services rendered up to the termination date.

9. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the South African courts.

10. Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated terms.
